• Drafting, reviewing and negotiating term-sheets, non disclosure agreements, disclosure letters and definitive agreements including share purchase agreements, non-compete agreements, escrow agreements, stock-swap agreements, employment agreements and other documentation.
• Legal and compliance issues under corporate and securities law including the Securities and Exchange Board of India (SEBI) takeover code, Foreign Direct Investment (FDI) and Overseas Direct Investment (ODI) policy, listing and regulatory requirements, approvals and filings.
• Representations before High Courts for merger approvals.
